These Terms of Service (“Terms”) govern your access to and use of the DeepFinds service (“Service”), operated by DeepFinds (“DeepFinds”, “we”, “us”) from Montreal, Quebec, Canada.
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
DeepFinds installs and operates a private AI knowledge graph on top of the business tools you already use. You connect your data sources (Gmail, Google Drive, HubSpot, Slack, Notion, Airtable, and other supported platforms). We ingest that data, normalize it, generate semantic embeddings, and organize it into a queryable knowledge graph stored in a private partition dedicated to your organization.
We then provide you with an MCP API key. Any AI agent that supports the Model Context Protocol (Claude Code, Claude Desktop, Cursor, ChatGPT, and others) can authenticate with that key and query your knowledge graph using natural language.
The Service does not include the AI agents themselves. You maintain your own subscriptions to those tools. We sell the infrastructure that makes those agents useful for your business.
You own your data. We do not.
All data ingested from your connected sources remains yours. We hold it as a custodian for the sole purpose of serving it back to your AI agent through the MCP connection you authorized. We do not use your data to train AI models, to improve our own products, to generate insights for third parties, or for any purpose beyond operating the Service for you.
You are responsible for ensuring that you have the right to connect the data sources you authorize and that doing so complies with your agreements with those platforms and with applicable law.
Our Privacy Policy (available at deepfinds.ai/privacy) describes in detail how we handle your data, which third-party processors we use, and your rights. The Privacy Policy is incorporated into these Terms by reference.
In the current version of the Service (V1), accounts are provisioned manually by DeepFinds. There is no public self-service signup. You will receive login credentials by email after your purchase is confirmed. You are responsible for keeping your credentials and MCP key confidential.
If you believe your MCP key has been compromised, revoke it immediately from the dashboard and generate a new one. You are responsible for all usage under your key until it is revoked.
5.1 One-Time Installation Fee
The current Service is offered at a flat one-time installation fee of $3,000 CAD. This fee covers account provisioning, connection of up to five (5) data sources, initial ingestion, delivery of the MCP key, a live demonstration call, and 30 days of async support.
5.2 Optional Retainer
Ongoing sync monitoring, addition of new sources beyond the initial five, and priority support are available as an optional monthly retainer. Retainer pricing is agreed separately in writing.
5.3 Payment Processing
Payments are processed by Stripe. By providing payment information, you agree to Stripe’s terms of service. We do not store your payment card data.
5.4 Refund Policy
If the Service cannot be delivered as described — for example, if your data sources are not supported or a critical integration fails — we will work with you to resolve the issue. If resolution is not possible, we will issue a full refund.
Once the installation is complete and the MCP key has been delivered and verified working, the fee is non-refundable. The Service has been performed in full at that point.
You agree not to:
Your service plan includes limits on the number of entities stored, the number of MCP API calls per day, the number of connected sources, and the maximum file upload size. These limits are displayed in your dashboard. If you reach a limit, ingestion or querying will pause until the limit resets or your plan is upgraded. We will not charge you for overages without your consent.
We aim to keep the Service available at all times but do not guarantee any specific uptime percentage during the current validation phase. Scheduled maintenance will be announced in advance when possible. Unplanned outages will be communicated via email.
The 30-day async support included in the installation fee covers questions about your setup, connection issues, and adjustments to your sources. It does not include custom development or integrations not listed in the standard connector library.
DeepFinds retains all rights to the Service, its software, and its infrastructure. Nothing in these Terms grants you any rights in DeepFinds’ technology beyond the right to use the Service as described here.
You retain all rights to your data. By connecting your sources, you grant us a limited, non-exclusive license to access, store, and process that data solely for the purpose of providing the Service to you. This license ends when your account is terminated and your data is deleted.
Both parties agree to keep confidential any non-public information received from the other party in connection with the Service. DeepFinds treats all client data as confidential and will not disclose it to third parties except as required to operate the Service (as described in the Privacy Policy) or as required by law.
If we receive a legal demand for your data (subpoena, court order, or similar), we will notify you promptly unless prohibited by law, so that you can seek a protective order if appropriate.
The Service is provided “as is.” To the maximum extent permitted by applicable law:
Some jurisdictions do not allow these limitations. In those jurisdictions, our liability is limited to the minimum extent permitted by law.
You agree to indemnify and hold harmless DeepFinds and its personnel from any claim, damage, or expense (including reasonable legal fees) arising from your use of the Service in violation of these Terms, your violation of any third party’s rights, or your data sources (including any claim that connecting those sources violated your agreements with those platforms).
Either party may terminate the Service at any time. If you terminate, your account will be deactivated and your data will be deleted within 30 days as described in the Privacy Policy.
We may suspend or terminate your account if you materially breach these Terms and fail to cure the breach within 7 days of written notice. We may also suspend your account immediately without notice if we believe your use poses a security risk to other clients.
Termination does not entitle you to a refund of any fees already paid, except as described in Section 5.4.
We may update these Terms from time to time. If we make material changes, we will notify you by email at least 14 days before the changes take effect. Continued use of the Service after the effective date of updated Terms constitutes your acceptance of those Terms.
These Terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict of law principles.
Any dispute arising from these Terms will first be addressed through good-faith negotiation. If negotiation fails, disputes will be resolved by binding arbitration in Montreal, Quebec, conducted in English, under the arbitration rules of the International Chamber of Commerce. Either party may seek injunctive relief in any court of competent jurisdiction to prevent irreparable harm pending arbitration.
